Supplementary Terms and Conditions – Equip the Fight: Fund Pho3nix Boxing Gear for Tipo Boxing in Nigeria

These Supplementary Terms and Conditions (“Supplementary Terms”) apply specifically to the item titled “Equip the Fight: Fund Pho3nix Boxing Gear for Tipo Boxing in Nigeria” (the “Initiative”), offered as part of the Pho3nix Foundation charity auction event in London, United Kingdom (the “Auction”) hosted on the Emma Live platform. This Initiative is available as a Buy It Now item, with a maximum of five (5) purchases available. By purchasing this Initiative, each purchaser (“Purchaser”) agrees to be bound by these Supplementary Terms, in addition to Emma Live’s applicable auction terms and conditions and any applicable terms published by the Pho3nix Foundation.

1. Nature of the Initiative

1.1. This Initiative represents a charitable contribution to fund Pho3nix-branded boxing equipment and apparel for athletes training at Tipo Boxing in Nigeria.

1.2. Each purchase constitutes a charitable donation in support of Pho3nix Foundation programs. This Initiative is offered as a fundraising contribution and may not be exchanged for cash, goods, services, or any other benefit.

1.3. The donation may be tax deductible only in jurisdictions where the Pho3nix Foundation is recognised as a charitable entity. Purchasers are responsible for seeking their own independent legal, financial, or tax advice regarding deductibility or reporting obligations in their jurisdiction.

2. Initiative Details

2.1. Funds raised through this Initiative will contribute towards providing:

  • Pho3nix-branded boxing equipment, including gloves, wraps, pads, and training gear;
  • Apparel such as shirts, tracksuits, duffle bags, and caps to unite and uplift the athletes; and
  • A visible sense of pride, community, and aspiration for athletes to feel part of something bigger.

2.2. Delivery of the boxing equipment and apparel will be coordinated by the Pho3nix Foundation in collaboration with Tipo Boxing.

3. Purchase Requirements

3.1. Purchasers must be aged 18 years or older at the time of purchase.

3.2. Purchasers may elect to have their contribution recognised in their name or remain anonymous.

3.3. A maximum of five (5) purchases are available for this Initiative. Once all available units have been purchased, the Initiative will no longer be available for purchase.

4. Donation Terms

4.1. All donations are final and non-refundable under any circumstances.

4.2. Donations are non-transferable, except with the prior written consent of the Pho3nix Foundation.

4.3. The Pho3nix Foundation will use reasonable endeavours to apply the donated funds towards the purposes described in these Supplementary Terms. However, if the total funds raised exceed or fall short of the amount required for the intended initiative, the Pho3nix Foundation may, at its sole discretion, allocate all or part of the funds to other Pho3nix Foundation programs or charitable activities consistent with its charitable mission.

5. Reporting and Acknowledgement

5.1. The Pho3nix Foundation may publicly acknowledge Purchasers unless they opt out by providing written notice within seven (7) days of purchase.

5.2. Photographs, videos, updates, or reports relating to the use of the donated funds may be provided to Purchasers at the Pho3nix Foundation’s discretion.

6. Liability and Disclaimers

6.1. To the fullest extent permitted by law, the Pho3nix Foundation and all related partners disclaim all liability for any loss, damage, injury, or death arising from the use of equipment provided under this Initiative.

6.2. Under no circumstances shall the Pho3nix Foundation, its directors, employees, contractors, affiliates, or partners be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to this Initiative.

7. Jurisdiction and Governing Law

7.1. These Supplementary Terms shall be governed by and construed in accordance with the laws of England and Wales.

7.2. Any disputes arising in connection with this Initiative shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8. Severability

If any provision of these Supplementary Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

9. Entire Agreement

These Supplementary Terms, together with Emma Live’s applicable auction terms and conditions, constitute the entire agreement between the Pho3nix Foundation and each Purchaser in relation to this Initiative. By completing a purchase, the Purchaser acknowledges and agrees that no additional promises, representations, or assurances outside of these written terms have been relied upon.
